Job Overview: A respected law firm based in Redwood City, CA, is seeking a mid-level to senior associate attorney to join its executive compensation and ERISA-focused legal team. The ideal candidate has 35 years of experience in compensation and benefits matters related to mergers, acquisitions, and corporate governance. The role involves working on complex equity-based incentive plans, tax compliance, and securities regulations.

Duties

Provide legal guidance on equity compensation strategies and incentive plans
Analyze tax, securities, and corporate law implications in compensation matters
Support transactional teams with diligence and negotiations on employee benefits and executive compensation
Assist in structuring and ensuring compliance of employee stock plans and disclosures
Draft and review compensation agreements, including offer letters, severance plans, and change-in-control arrangements
Collaborate with clients and handle aspects independently as part of a legal team

Requirements

3-5 years of legal experience in executive compensation, benefits law, and transactional support
Knowledge of public and private company operations and compliance
Ability to manage deal components and collaborate in cross-functional teams
Understanding of tax and securities law in compensation planning
Experience with ERISA and employee benefit plans is a plus

Education

Juris Doctor (J.D.) from an accredited law school

Certifications

Active Bar membership in good standing in at least one U.S. jurisdiction; California admission preferred

Skills

Excellent legal research, writing, and analytical skills
Strong communication and client service skills
Ability to manage projects independently
Attention to detail and understanding of financial and legal frameworks
